CCI Clears Warburg Pincus' Stake Buy in Fleur Hotels; Approves Lemon Tree Restructuring

The Competition Commission of India has officially sanctioned private equity giant Warburg Pincus' proposal to acquire a stake in Lemon Tree Hotels' arm, Fleur Hotels Ltd, along with the internal restructuring of the Lemon Tree Hotels group.

New Delhi, April 8: CCI has approved Warburg Pincus' stake acquisition in Fleur Hotels and the internal restructuring of Lemon Tree Hotels group through amalgamation and demerger.

Transaction Details

  • Acquirer: Coastal Cedar Investments BV (wholly owned by US-based Warburg Pincus Group)

  • Target: Fleur Hotels Ltd (subsidiary of Lemon Tree Hotels)

  • Investment: ₹960 crore (in tranches)

  • Stake acquisition: 41.09% stake held by APG Strategic Real Estate Pool NV

Restructuring Scheme

Merging with Lemon Tree Hotels (LTH):

  • Carnation Hotels (wholly-owned subsidiary)

  • Hamstede Living (wholly-owned subsidiary)

Merging with Fleur Hotels:

  • Oriole Dr Fresh

  • Sukhsagar Complexes

  • Manakin Resorts

  • Canary Hotels

These four subsidiaries will be merged with Fleur against issuance of shares by Fleur to Lemon Tree.

Strategic Rationale

The reorganisation will create two differentiated and complementary platforms:

Lemon Tree Hotels       Pure-play, asset-light hotel management and brand platform
Fleur Hotels Large-scale growth-oriented hotel ownership platform with development capabilities

Portfolio Expansion

Post-transaction, Fleur will become one of the largest owners of hospitality assets in India:

  • Current portfolio: 3,993 keys, 24 operating hotels

  • Post-transaction: 5,813 keys across 41 hotels

Leadership

Patanjali Govind Keswani, Founder of Lemon Tree Hotels, will serve as the Executive Chairman of Fleur Hotels and will eventually transition to a Non-Executive role at Lemon Tree.

Listing

The scheme will also result in the listing of Fleur's shares on NSE and BSE.

Renewed Partnership

This investment marks a renewed partnership between Warburg and Lemon Tree, following Warburg's earlier investment in the company in 2006, which supported the latter's initial growth.
